Welcome to Tarulok! These Terms and Conditions ("Terms") govern your use of the Tarulok website, software, and services (collectively, the "Services"), provided by Tarulok Consultancy. By accessing or using our Services, you agree to be bound by these Terms.

Definitions

• Account means the account you register to use the Services.
• Client or you means the individual or entity registering for and/or using the Services.
• Order Form means the ordering document under which we make the Services available to you.
• Services means the website, software, dashboard, analytics, advisory and other services provided by Tarulok Consultancy under these Terms.
• Subscription Term means the time period purchased for access to the Services under your Order Form.
• Your Data means business data, content and other information you submit to or input via the Services.
• Content means any reports, dashboards, software output, documentation or other material provided by us.

Eligibility & Account Registration

By registering for an Account or accessing the Services, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have full power and authority to enter into these Terms on behalf of yourself or the entity you represent. You must provide complete and accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.

We reserve the right to suspend or terminate your use of the Services if you provide false or incomplete information, or if we suspect misuse of your Account.

Fees, Payment & Renewal

All fees for the Services are set out in the applicable Order Form. Unless otherwise stated, all fees are payable in advance of the Subscription Term, in the currency specified and are exclusive of taxes, duties, or levies, which are your responsibility.

If your Subscription Term is subject to automatic renewal, we will notify you 30 days prior to renewal. You may cancel prior to the renewal date in accordance with our Cancellation Policy. If payment is not received by the due date, we may suspend or terminate your access to the Services.

We reserve the right to increase fees at renewal upon 30-day prior notice. If you do not agree to the increase, you may cancel before the renewal date without incurring the increased fee.

Acceptable Use & Prohibited Activities

You agree not to use the Services to:

• (a) violate any applicable law, regulation, or third-party right;
• (b) interfere with or disrupt the integrity or performance of the Services;
• (c) attempt to gain unauthorized access to our systems or networks;
• (d) copy, reproduce, distribute, or reverse-engineer any portion of the Services except as expressly permitted;
• (e) upload or transmit viruses, malware, or other malicious code;
• (f) use the Services in connection with activities that infringe on the intellectual property or other proprietary rights of any third party.

We reserve the right to suspend or terminate your access if you engage in prohibited activities.

Intellectual Property

The Services, including all underlying software, AI models, algorithms, and content provided by Tarulok Consultancy (excluding Your Data), are the exclusive property of Tarulok Consultancy. You may not copy, modify, distribute, sell, or lease any part of our Services.

You retain all ownership rights to the business data you submit to the Services ("Your Data"). You grant us a limited, worldwide, non-exclusive license to use, reproduce, modify, and process Your Data solely for the purpose of providing and improving the Services for you.

AI-Generated Content

The Services utilize artificial intelligence to generate insights, recommendations, and reports. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You agree that you are solely responsible for reviewing, validating, and using any AI-generated content. Tarulok Consultancy is not liable for any decisions made based on this content.

Termination & Suspension

We may, at our sole discretion, suspend or terminate your access to the Services without notice if you breach these Terms, fail to pay any fees when due, or if we reasonably believe you are engaging in prohibited conduct.

You may terminate these Terms by providing 30 days written notice or by cancelling your subscription in accordance with the Cancellation Policy.

Upon termination or expiry of the Subscription Term:

• (i) your access to the Services will end;
• (ii) your license to use the Content terminates;
• (iii) we may delete or disable access to Your Data or retain it in accordance with our Privacy Policy and any data-retention obligations;
• (iv) the provisions of these Terms which by their nature should survive will remain in effect (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law).

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS-IS” AND “AS AVAILABLE”, AND TARULOK CONSULTANCY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR UPTIME.

WITHOUT LIMITING THE FOREGOING, TARULOK CONSULTANCY DOES NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR (C) ANY OUTPUT OR REPORT GENERATED BY THE SERVICES WILL BE ACCURATE OR COMPLETE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TARULOK CONSULTANCY, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNTS PAID BY YOU TO TARULOK CONSULTANCY FOR THE PAST THREE MONTHS OF THE SERVICES IN QUESTION.

Indemnification

You agree to indemnify, defend, and hold harmless Tarulok Consultancy, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with (a) your breach of these Terms; (b) your misuse of the Services; (c) your violation of applicable law or the rights of any third party; or (d) any content you submit or upload, or any decision you make based on the Services.

Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and/or sending you an email notification. The updated Terms will be effective from the “Last Updated” date shown above. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.

Severability, Waiver & Entire Agreement

If any provision of these Terms is held invalid or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with any Order Forms and the Privacy, Refund, and Cancellation Policies referenced herein, constitute the entire agreement between you and Tarulok Consultancy regarding the Services and supersede all prior or contemporaneous agreements, representations, or understandings.

These Terms will be governed by and construed in accordance with the laws of India. The courts at Ahmedabad, Gujarat shall have exclusive jurisdiction over any disputes arising hereunder.
